I also prefer the first. The only advice I have is to crop the right side to get rid of the tree. That way she isn't at the center (I love the rule of thirds!).
I agree with the B&W version you might also consider cropping the tree on the right. I think the tree on the left and the fence are enough to frame the shot.

Since I can not crop digitaly I used my "sheets of paper" cropping technique, and I agree with Don and think the cropping is just about right in spite of the rule of thirds. Here the trees frame and draw one's attention to the subject. Sometimes you just have to violate a rule to to make the exception to prove the rule That was a mouth full.
